Vinys Terms of Service

Agreement and eligibility

These Terms of Service are a binding agreement between you and Sanatosha, LLC ("Vinys," "we," "us"). By creating an account or using Vinys, you agree to these Terms, our Privacy Policy, our Consumer Health Data Privacy Policy, our Medical Disclaimer, and our Assumption of Risk and Liability Waiver. If you do not agree, do not use the service. You must be at least 18 years old and able to form a binding contract.

What Vinys is, and is not

Vinys provides guided, adaptive movement and exercise sessions for general wellness and fitness. Vinys is not a medical device, is not a substitute for professional medical advice, diagnosis, or treatment, and does not create a clinician-patient relationship. Accounts

You are responsible for your account credentials and for activity under your account. Provide accurate information, keep it current, and notify us of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

Subscriptions, free trial, and automatic renewal

Vinys offers paid subscriptions. Current pricing is $19.99 per month or $129.99 per year, plus applicable taxes. We may offer a free trial of 7 days. Before you purchase, we will clearly disclose the trial length, the price, the billing period, the date the first charge will occur, and how to cancel. By starting a subscription or trial, you authorize us and our payment processors to charge your payment method on a recurring basis. If you start a 7-day free trial, you will be charged automatically when the trial ends unless you cancel before it ends. Subscriptions renew automatically at the end of each billing period at the then-current price until you cancel. We will provide any notices and obtain any consents required by applicable automatic-renewal laws. On the web, payments are processed by Stripe. On mobile, subscriptions purchased through the Apple App Store or Google Play are billed by Apple or Google and are governed by their terms, and renewals and cancellations for those purchases are managed through your app store account. We may change prices or plan features with advance notice as required by law, and changes apply to the next billing period. You are responsible for applicable taxes.

Cancellation and refunds

You can cancel anytime, effective at the end of the current billing period. To cancel a web subscription, use your account settings or the customer portal, or contact privacy@vinys.app. To cancel a mobile subscription, use your Apple or Google account. Cancellation stops future renewals. In addition, if you are not satisfied with Vinys, you may request a refund of your most recent monthly subscription payment by contacting privacy@vinys.app; no forms or further justification are required. For annual subscriptions, the 7-day free trial is the evaluation period: if you cancel during the trial you will not be charged, and after the trial the annual fee is non-refundable for the remainder of the subscription year (you keep access until the end of that year), except where a refund is required by law. If you are a consumer in the EU or UK, you generally have a 14-day right to withdraw from a purchase of digital services. Because Vinys provides immediate access, by starting your subscription or trial and requesting immediate access you consent to immediate performance and acknowledge that your right of withdrawal may be lost once the service has been fully performed, to the extent permitted by law. Purchases made through the Apple App Store or Google Play are billed by Apple or Google, and refunds for those purchases are requested through Apple's or Google's own refund process and are subject to their refund policies.

License to use Vinys

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use Vinys for your own non-commercial use, subject to these Terms. For mobile apps, your use is also subject to the applicable app store terms, including Apple's standard licensed application end user license agreement where relevant.

Acceptable use

You agree to use Vinys lawfully. You will not:

• use the service for any unlawful purpose
• share, sell, or transfer your account or access the service using another person's account without permission
• copy, scrape, data-mine, reverse engineer, decompile, or attempt to extract the source code or content of the service except where the law expressly permits
• resell or commercially exploit the service or its content
• interfere with or disrupt the service, introduce malware, or attempt to gain unauthorized access or probe its security
• upload or transmit content that is unlawful, infringing, harassing, or harmful or that violates the rights of others
• use the service to develop a competing product or use automated systems that burden our infrastructure

We may investigate and take action, including suspending or terminating accounts, removing content, and reporting to authorities.

Intellectual property

Vinys, including its content, sessions, software, text, audio, video, design, and trademarks, is owned by Sanatosha, LLC or its licensors and is protected by law. Except for the license above, no rights are granted to you.

Your content and feedback

If you submit content or feedback, you grant us a worldwide, royalty-free license to use it to operate and improve the service. Do not submit anything you do not have the right to share.

Third-party services

Vinys relies on third-party services and may link to third-party content. We are not responsible for third-party services, and your use of them may be governed by their terms.

Health, safety, and assumption of risk

Physical activity carries inherent risks, including injury. By using Vinys you confirm you are voluntarily participating, that you have considered your own health and any medical advice, and you accept the Assumption of Risk and Liability Waiver. Stop immediately and seek medical attention if you feel pain, dizziness, or distress. In an emergency, call your local emergency number.

Disclaimers of warranties

To the maximum extent permitted by law, Vinys is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that it will achieve any particular health or fitness result. Some jurisdictions do not allow certain warranty exclusions, so some may not apply to you.

Limitation of liability

To the maximum extent permitted by law, Vinys and its owners, members, and providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from or related to your use of the service. To the maximum extent permitted by law, our total liability for any claim will not exceed the greater of the amount you paid us in the 12 months before the claim or fifty US dollars. Some jurisdictions do not allow certain limitations, so some may not apply to you, and nothing limits liability that cannot be limited by law.

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Sanatosha, LLC and its owners, members, and providers from claims arising out of your misuse of the service or violation of these Terms.

Termination

You may stop using Vinys at any time. We may suspend or terminate your access if you violate these Terms or to protect the service or other users. Sections that by their nature should survive termination will survive.

Dispute resolution, arbitration, and class action waiver

Please read this section carefully. First, we both agree to try to resolve disputes informally by contacting privacy@vinys.app before filing a claim. Except where prohibited by law, you and Vinys agree that any dispute will be resolved by binding individual arbitration, not in court, except that either party may bring claims in small claims court or seek injunctive relief for intellectual property or unauthorized access. You and Vinys waive the right to a jury trial and agree that claims will be brought only in an individual capacity and not as part of a class or representative action. You may opt out of arbitration within 30 days of first accepting these Terms by emailing privacy@vinys.app with your name and a statement that you opt out. This arbitration agreement does not apply where it is unenforceable under applicable law. Nothing in these Terms limits any mandatory consumer rights or dispute-resolution rights available in your country of residence.

Governing law and venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Subject to the arbitration section, disputes will be brought in the state or federal courts located in Delaware. If you are a consumer in the EU or UK, you also benefit from the mandatory protections of the law of your country of residence.

Changes to the Terms or the service

We may update these Terms. We will post the updated version with a new date and, for material changes, provide reasonable notice. Continued use after changes take effect means you accept them. We may modify or discontinue features.

App store terms

If you download Vinys from the Apple App Store or Google Play, you also agree to their terms. For Apple, you acknowledge that these Terms are between you and Vinys, not Apple, that Apple has no obligation to provide support or maintenance, and that Apple is a third-party beneficiary entitled to enforce these Terms.

Miscellaneous

If any provision is unenforceable, the rest remains in effect. We may assign these Terms; you may not without our consent. These Terms, together with the policies referenced, are the entire agreement between you and Vinys. Our failure to enforce a provision is not a waiver. We are not liable for events beyond our reasonable control.
